HELIOS, A BUSINESS REIMBURSEMENT MANAGEMENT SERVICE APPLICATION, IS PROVIDED TO YOU OR THE ENTITY THAT YOU REPRESENT (hereinafter “You” or “Your”) BY HAND  ENTERPRISE SOLUTIONS USA,INC. (hereinafter “HAND”), ACCORDING TO THE FOLLOWING TERMS AND CONDITIONS (hereinafter “Terms”)IN ADDITION TO HELIOS GENERAL TERMS OF SERVICE. USE OF HELIOS SIGNIFIES YOUR ACCEPTANCE OF THE TERMS AND GENERAL TERMS OF SERVICE. IF YOU DO NOT AGREE TO THE TERMS, DO NOT PROCEED OR USE HELIOS IN ANY MANNER.

Accessing Helios

Helios is a part of HAND's developed applications for travel management. You will be able to access Helios by using your common account for all Helios Services (hereinafter “Helios Account”).

Accessing other Helios Services

Many Helios Services are integrated with Helios app. Your Helios Account will also allow you to access all Helios Services even if such Helios Services are not integrated with Helios now. Use of some of these Helios Services may require acceptance of terms of service specific to such Helios Services (hereinafter “Service Specific Terms”). You must read, understand and accept the Service Specific Terms before using the corresponding Helios Service.

Accessing Third Party Applications Integrated with Helios

Many third party applications (hereinafter “Third Party Application(s)”) are integrated with Helios. Helios will also be integrating more Third Party Applications with Helios. In addition, You may also integrate any other Third Party Application with Helios by using the API if such Third Party Application allows such integration. Access and use of Third Party Applications may require acceptance of terms of service and privacy policy applicable to such Third Party Applications (hereinafter “Third Party Terms”). You are responsible for reading and understanding the Third Party Terms before accessing or using any Third Party Application.

 

We are responsible to keep our system free from illegal activities. To ensure better deliverability for our customers and to maintain our reputation, emails sent via Helios will be monitored using automated tools. In case of violation of our terms, we may block emails from your account or even terminate your service.

 

Usage Limits for Helios

Helios may prescribe usage limits based on the subscription plan chosen by You. You must make sure that Your usage is within the usage limits prescribed by Helios in order to avail uninterrupted service. You understand that Helios may restrict an activity if You reach the usage limit corresponding to such activity.

TERMS FOR USE OF API

Integration of Helios with Third Party Applications using APIs provided by Helios requires technical skill. You understand that errors or defects in the integration may cause loss and corruption of data. You must make sure that You use the services of technically skilled persons for the integration. You agree that Helios is not liable for any loss and corruption of data caused due to errors or defects in the integration.

You must not try to access any functionality that is not exposed in the documentation for the API. You understand and agree that Helios will not be liable for the consequences of accessing or using any unexposed functionality of the API.

API Deprecation

Helios, in its discretion, may cease providing the current version of the API either as a result of discontinuation of the API or upgradation of the API to a newer version. In both cases, the current version of the API will stand deprecated and become the deprecated version of the API (hereinafter "Deprecated Version"). When Helios decides to deprecate the current version of the API, You will be informed about such deprecation through a service announcement. For a period of six months following announcement of deprecation (hereinafter the "Deprecation Period"), Helios will use commercially reasonable efforts to support the Deprecated Version. You understand that Helios is not obliged to provide the features of the newer version in the Deprecated Version.

Helios in its discretion may cease supporting the Deprecated Version during the Deprecation Period if i) Helios is required to do so by law or ii) You have breached any provision of these Terms or the General Terms of Service or iii) Helios determines that supporting the API is likely to result in a security risk to Helios.

Modification of Terms of Use

HAND USA reserves the right to modify Helios Terms of Use. Modifications to the Terms of Use are effective upon Your use of Helios subsequent to publication of such modification.
